their team. The ideal candidate will have a minimum of 4 years of
experience in complex M&A transactions, shareholder activism,
defense strategies, and corporate governance matters. This is an

- Handle all aspects of complex M&A transactions, from
initial negotiations to closing.
- Advise clients on shareholder activism and defense
strategies.
- Provide counsel on corporate governance matters, ensuring
compliance with relevant laws and regulations.
- Draft, review, and negotiate various transactional documents
including purchase agreements, shareholder agreements, and
merger-related documents.
- Conduct due diligence and prepare related reports for M&A
transactions.
- Collaborate with cross-functional teams within the firm,
including tax, litigation, and finance, to provide comprehensive
legal advice.
- Stay updated on legal developments and trends impacting
corporate governance and M&A transactions.
- Build and maintain client relationships, ensuring high-quality
service delivery.Requirements:
- Minimum of 4 years of experience in corporate law, focusing on
M&A transactions, shareholder activism, and corporate
governance.
- Proven track record of managing complex corporate transactions
from start to finish.
- Strong legal research, drafting, and negotiation skills.
- Excellent communication and interpersonal skills with the
ability to work in a team-oriented environment.
- Detail-oriented with strong organizational skills and the
ability to manage multiple priorities.Education:
- Juris Doctor (J.D.) from an accredited law school with strong
academic credentials.Certifications:
- Active Bar admission in the state of New York.Skills:
- Extensive knowledge of corporate law, M&A transactions, and
governance regulations.
- Strong analytical and problem-solving skills.
- Ability to manage large volumes of work and meet deadlines in a
fast-paced environment.
- Proficiency in legal research tools and technology.
